1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and PLCScribe ("Company," "we," "us," or "our") concerning your access to and use of the PLCScribe platform and services.

By creating an account, accessing, or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our services.

2. Service Description

PLCScribe is an industrial equipment documentation platform that provides:

  • AI-assisted interviews for capturing equipment knowledge from subject matter experts
  • Voice recording and transcription capabilities
  • Automated generation of operations manuals and documentation
  • Team collaboration and document sharing features
  • Document export in various formats (PDF, DOCX)

3. Account Registration

To use PLCScribe, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

You must be at least 16 years old to create an account. By registering, you represent that you meet this age requirement.

4. Subscription and Payment

4.1 Free Trial

New users may receive a free trial period. During the trial, you have access to the features of your selected plan. At the end of the trial, you must subscribe to continue using the service.

4.2 Subscription Plans

We offer various subscription plans with different features and limits. Plan details, pricing, and features are available on our website and may be updated from time to time.

4.3 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • Payments are processed through Stripe, our third-party payment processor
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice to existing subscribers

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period. After that, your account will be downgraded and data may be subject to our retention policies.

5. Acceptable Use Policy

You agree not to use PLCScribe to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the service or its infrastructure
  • Use automated systems to scrape or extract data without permission
  • Misrepresent your identity or affiliation
  • Store or transmit content that is defamatory, obscene, or illegal
  • Use the service for competitive intelligence or to build a competing product

6. User Content

6.1 Ownership

You retain ownership of all content you create, upload, or input into PLCScribe, including interview transcripts, documentation, images, and voice recordings ("User Content").

6.2 License Grant

By using our service, you grant us a limited, non-exclusive license to process, store, and transmit your User Content solely to provide the service to you. This includes sharing content with our AI providers (OpenAI, Anthropic) for transcription, analysis, and document generation.

6.3 Your Responsibilities

You are responsible for ensuring you have the right to upload and process all User Content, including obtaining necessary permissions from subject matter experts and complying with your organization's policies.

7. Intellectual Property

The PLCScribe platform, including its software, design, features, and documentation (excluding User Content), is owned by us and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the service in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our service without our written permission.

8. AI-Generated Content

PLCScribe uses artificial intelligence to assist with transcription, question generation, and document creation. You acknowledge that:

  • AI-generated content may contain errors or inaccuracies
  • You are responsible for reviewing and validating all generated content
  • AI-generated documentation should not be used as the sole source for safety-critical procedures without human review
  • We do not guarantee the accuracy, completeness, or fitness for purpose of AI-generated content

8A. Mandatory Supervisor Sign-off & Safety Obligation

⚠ Critical safety requirement — please read carefully.

All interview-based documentation generated by PLCScribe is marked as DRAFT until a designated supervisor has reviewed, edited as necessary, and formally approved it within the platform.

You agree that:

  • You must NOT use, distribute, or rely upon any PLCScribe-generated documentation for operational, safety-critical, maintenance, or training purposes until a supervisor has completed the sign-off process within the platform.
  • The supervisor performing the sign-off is responsible for verifying the accuracy, completeness, and fitness for purpose of the documentation before approving it.
  • Draft documents (those bearing a "DRAFT — Awaiting Sign-off" marking) must not be acted upon or treated as authoritative guidance under any circumstances.
  • Your organisation is responsible for establishing and enforcing internal review processes appropriate to the hazard level of the equipment being documented.

Once a supervisor approves an interview within the platform, PLCScribe bears absolutely no liability of any kind — including but not limited to injury, death, property damage, equipment failure, regulatory breach, or financial loss — arising from the use of, or reliance upon, the approved documentation.

By approving an interview, the approving supervisor accepts full responsibility for confirming that the documentation is accurate, complete, and safe for operational use. PLCScribe provides the platform as a tool only and makes no warranty as to the fitness for purpose of any output.

9. Confidentiality

We understand that equipment documentation may contain confidential and proprietary information. We implement reasonable security measures to protect your data. However, you acknowledge that no system is completely secure, and you should not upload content that requires absolute confidentiality or is subject to government classification requirements.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Our total liability for any claims arising from these Terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless PLCScribe and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the service, your User Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the service at any time for:

  • Violation of these Terms
  • Non-payment of subscription fees
  • Extended account inactivity
  • Request by law enforcement or government agencies
  • Discontinuation of the service (with reasonable notice)

Upon termination, your right to use the service ceases immediately. You may export your data before termination using the data export feature in your Privacy Center.

14. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the service. Your continued use of the service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the service.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PLCScribe.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
